Which company type is right?

Most foreign investors choose a limited company (有限公司). It can have a single corporate or individual shareholder, its governance is simple, and it can do everything a business needs: sign contracts, invoice customers, lease an office and employ staff.

A company limited by shares (股份有限公司) suits groups that expect outside investors, an employee share plan or an eventual listing. It requires a board and supervisors, so it carries more administration.

A branch office (分公司) of your overseas company can also trade in Taiwan. It is not a separate legal person, so the parent carries its liabilities directly. We will set out the trade-offs for your case on the first call.

The process, step by step

  • Name and scope. We reserve your Chinese company name and select the business scope codes that match what you will actually do.
  • Foreign investment approval. We file with the Ministry of Economic Affairs’ Department of Investment Review, with your corporate documents notarised and legalised where needed.
  • Capital injection. You remit the share capital into a preparatory bank account. The investment is then confirmed with the authorities.
  • Capital verification. A Taiwan certified public accountant verifies the paid-in capital.
  • Company registration. We file the registration and prepare your company seals.
  • Tax and bank. We register for business tax and convert the preparatory account into your operating account.

How much capital do I need?

Taiwan has no general minimum capital for a limited company, but the capital must be real and verified. If you plan to sponsor foreign managers or professionals for work permits, higher paid-in capital or a revenue track record is usually expected. We will tell you the figure that fits your hiring plan before you remit anything.

Investors from mainland China

Investment by mainland Chinese individuals and companies follows a separate, stricter approval regime with a narrower list of permitted sectors. Tell us early if any shareholder, direct or indirect, is from mainland China.

What we need from you

From you: shareholder documents, passport copies for directors, the share capital, and a Taiwan address (we can advise on options).

From us: every form, translation, filing and follow-up with the authorities.

Questions we hear often

Do I need to travel to Taiwan?

Usually not. Documents can be signed abroad and notarised or legalised for use in Taiwan. A visit can help with opening the bank account, and we will tell you if your bank requires it.

Can the company be 100% foreign-owned?

Yes, in most sectors. A small number of sectors are restricted or prohibited for foreign investment, and we check your business scope against them at the start.

Do I need a local director?

Taiwan does not require a resident director for a limited company, but you will need a responsible person and an address in Taiwan for official correspondence.

What happens after registration?

You will file business tax returns every two months, keep accounts, file annual income tax and maintain labour and health insurance for staff. We can run all of it.

Talk to an adviser before you commit.

Thirty minutes, free and without obligation. You leave knowing which structure fits, what it costs and how long it takes.
